ANY PERSON ACCESSING THE HIGH IMPACT PLAYER ASSESSMENT (THE “USER”)
AGREES TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS
(“AGREEMENT”):


Copyright: The High Impact Player (“HIP”) Assessment is protected by the copyright
laws of the United States and are owned or controlled by Adage Solutions. The
materials are provided solely for the personal noncommercial use of registered users.
Any copying, further distribution, commercial use or nonpersonal use of the
assessment, without the express written consent of Adage Solutions, is strictly
prohibited.

Privacy:  Use of the Website and/or the HIP Assessment is also governed by our Privacy
Policy, which is incorporated herein by this reference.

Modifications to Service and/or the HIP Assessment:  HumanResourceNetwork.com
reserves the right at any time to modify or discontinue, temporarily or permanently, the
service provided through this Website (“Service”), including, without limitation, the HIP
Assessment with or without notice.  The User agrees that HumanResourceNetwork.
com shall not be liable to the User or to any third party for any modification, suspension,
or discontinuance of the Service.

Disclaimer/Limitation on Liability: The HIP Assessment service is offered on an "as is"
basis, without warranties of any kind, either express or implied.  HumanResource
Network.com and Adage Solutions cannot guarantee and does not promise any
specific results from use of the Website and/or the HIP Assessment.  The User
assumes all responsibility for use of the HIP Assessment and waives all claims
against HumanResourceNetwork.com and Adage Solutions that may arise from
utilization of this site, including, without limitation, from User’s use or inability to use the
site, delays in operation or transmission, communications line failure, or any error or
omissions in content.  Further, HumanResourceNetwork.com and Adage Solutions
shall in no event be liable for any damages or losses, including, without limitation,
direct, indirect, consequential, special, incidental, or punitive damages resulting from or
caused by this Website or its content, even if HumanResourceNetwork.com and/or
Adage Solutions have been advised of the possibility of such damages.

In addition to the preceding paragraph and other provisions of this Agreement, any
advice that may be posted on the Website is for informational purposes only and is not
intended to replace or substitute for any professional financial, medical, legal, or other
advice.  HumanResourceNetwork.com and Adage Solutions make no representations
or warranties and expressly disclaim any and all liability concerning any treatment,
action by, or effect on any person following the information offered or provided within or
through the Website.

Notwithstanding anything to the contrary contained herein, HumanResourceNetwork.
com’s and Adage Solution’s liability to the User for any cause whatsoever, and
regardless of the form of the action, will at all times be limited to the amount paid, if any,
by the User to HumanResourceNetwork.com for the Service, including the HIP
Assessment.

Indemnity by the User:  The User agree to indemnify and hold HumanResourceNetwork.
com, Adage Solutions, their affiliates, officers, agents, and other partners and
employees harmless from any loss, liability, claim, or demand, including reasonable
attorney’s fees, made by any third party due to or arising out of your use of the HIP
Assessment in violation of this Agreement and/or arising from a breach of this
Agreement and/or any breach of your representations and warranties set forth above.

Terms of Use: The HIP Assessment is a serious device designed to measure an
individual’s success traits. As such, it is necessary that the individual take the
assessment seriously and devote the appropriate time and energy to the completion of
the exam. Lack of concentration or other excuses will not be considered when certifying
candidates.  In addition, with the assessment being conducted on the Internet, it is
possible for an individual to get assistance in completion of the test. Based on the
content and use of the test, this would not be an appropriate activity.  Thus, the User
agrees to take the assessment without any assistance from any outside resource.  Any
future representation of the User by HumanResourceNetwork.com or invitations to join
the Talent Pool will be terminated if it became apparent that the User did not complete
the assessment on his own. No funds for services will be refunded.

Term:  This Agreement will remain in full force and effect while the User uses the
Website and/or the HIP Assessment.  The User may terminate your membership at any
time, for any reason, by sending HumanResourceNetwork.com written notice of
termination to 2901 West Coast Highway, Suite 200, Newport Beach, CA 92663 or
email notice of termination to
admin@humanresourcenetwork.com.  
HumanResourceNetwork.com may terminate the User’s membership by sending
notice to the User at the email address the User provide in his or her registration form
or such other email address that may later be provided to HumanResourceNetwork.
com.  If HumanResourceNetwork.com terminates the User’s membership in the
Service because the User has breached this Agreement, the User will not be entitled to
any refund.  All decisions regarding the termination of membership shall be made in
the sole discretion of HumanResourceNetwork.com.  All terms that by their nature may
survive termination of this Agreement shall be deemed to survive such termination.

Jurisdiction and Choice of Law:  If there is any dispute arising out of the Website and/or
the HIP Assessment, the User expressly agree that any such dispute shall be governed
by the laws of the State of California, without regard to its conflict of law provisions, and
the User expressly agrees and consents to the exclusive jurisdiction and venue of the
state and federal courts of the State of California, County of Orange, for the resolution of
any such dispute.

Entire Agreement/Severability:  This Agreement contains the entire agreement between
the User, on the one hand, and HumanResourceNetowork.com and Adage Solutions,
on the other hand, regarding the use of the Website and/or the HIP Assessment.  If any
provision of this Agreement is held invalid, the remainder of this Agreement shall
continue in full force and effect.
